Stake: LANXESS in ENVALIOR Joint Venture Remains Intact

LANXESS Confirms Stake in ENVALIOR Joint Venture

In a significant development, LANXESS has announced that it will not sell its stake in the ENVALIOR joint venture to Advent HoldCo in 2026. This decision reinforces LANXESS’s commitment to its partnership in the joint venture, which has been a key component of its business strategy.

The announcement follows LANXESS’s earlier move in September 2025, when it tendered its stake in ENVALIOR. However, the company will continue to play an active role as a joint venture partner, ensuring that it remains involved in the operations and strategic direction of ENVALIOR.

LANXESS’s financial position appears robust, with a strong cash position and undrawn credit lines totaling more than EUR 1.35 billion. This financial stability allows the company to maintain its investments and partnerships without immediate pressure to divest any interests.

In a related development, Estée Lauder Companies has announced plans to acquire the remaining interests in Forest Essentials, a brand founded in 2000 by Mira Kulkarni. Estée Lauder’s acquisition of Forest Essentials is expected to close in the second half of calendar year 2026, following a minority investment made in 2008 and an increased stake to 49% in 2020.

Forest Essentials, which operates nearly 200 freestanding stores in India, is forecasted to grow its net sales in the low double digits. This acquisition marks a significant step in Estée Lauder’s long-term strategy to enhance its portfolio in the beauty and wellness sector.

Stéphane de La Faverie, a representative from Estée Lauder, remarked, “Today marks a meaningful new chapter in a partnership built over the past 18 years on a foundation of mutual trust and respect.” This sentiment underscores the importance of the relationship between Estée Lauder and Forest Essentials, as both companies look to leverage their strengths in the market.

Mira Kulkarni, the founder of Forest Essentials, added, “Over the past 25 years, we have built this brand with an uncompromising commitment to the authenticity, craftsmanship and wisdom of our heritage.” This statement highlights the brand’s dedication to its roots and the quality of its products.

As these developments unfold, LANXESS’s decision to retain its stake in ENVALIOR and Estée Lauder’s acquisition of Forest Essentials reflect broader trends in corporate partnerships and strategic investments within the industry. Details remain unconfirmed regarding any further implications of these moves on the companies’ future operations.
